TotalEnergies Acquires Zeeland Refinery Stake

According to Главком: French energy giant TotalEnergies has taken full ownership of the Zeeland oil refinery in the Netherlands by purchasing the 45% stake held by Russia's Lukoil. This move was triggered by sanctions imposed by the U.S. Treasury Department in October 2025 against Lukoil, compelling the Russian firm to divest its international holdings. This transaction is a direct example of how Western sanctions are reshaping the ownership of key energy infrastructure in Europe.

Lukoil originally acquired its 45% share in the Zeeland plant from Total back in 2009 for approximately $725 million. The deal was signed during a state visit to the Netherlands by then-Russian President Dmitry Medvedev. The Zeeland refinery has a processing capacity of 180,000 barrels per day.

Mounting Financial Pressure on Lukoil

In a related development, Lukoil has also reached a preliminary agreement to sell its foreign assets to the American investment firm Carlyle. The initial valuation of Lukoil's international portfolio earmarked for sale was around $22 billion. These events highlight the significant shifts in ownership and control of energy assets driven by global economic sanctions. The forced sales mark a major strategic retreat for one of Russia's largest companies from Western markets.
